1. Introduction and Acceptance

These Terms of Service form the agreement between you and Kunming Binggongyi E-Commerce Co., Ltd., Room 1104, 11/F, Culture Technology Building, No. 371 Qingnian Road, Wuhua District, Kunming - 650000, China (CN), governing your use of the website at www.binggongyi.mom and of the trading services described on it. The services are developed and operated by the developer BingGongYi under the company named above, and references in these terms to we, us, and our mean that company.

By browsing the website, submitting an inquiry, placing an order, or accepting a quotation, you agree to these terms. If you are acting for a company or another organization, you confirm that you have authority to bind that organization, and the word you then covers both you and it. If you do not agree with any part of these terms, please do not use the services; we would rather lose an order than argue about rules you never accepted.

These terms, together with any order confirmation we issue and any wholesale agreement you sign, make up the whole deal for a given transaction. Where a signed wholesale agreement conflicts with these terms, the signed agreement controls for that relationship.

2. Description of Services

We are a cross-border e-commerce trading house. We curate goods from vetted workshops, inspect them at our Kunming hub, warehouse them, fulfill orders across our export corridors, coordinate last-mile delivery through partner carriers, and support storefront operations for our clients. The services page on this website describes each of these offerings in detail, and the description there is part of the picture you should read before ordering.

Our role is that of a merchant and a service provider. We sell goods on our own account and provide fulfillment and coordination services as commissioned. We are not a common carrier, not a customs broker of record unless separately agreed in writing, and not the manufacturer of the goods we sell; we are the accountable desk that stands between the workshop bench and the customer door.

Nothing on the website is an offer capable of acceptance by silence; an order becomes a contract when we confirm it in writing, and quotations we issue remain open only for the period stated in them, usually fourteen days.

3. Eligibility and Account Responsibilities

You must be at least eighteen years old and legally able to enter contracts to place an order or open a wholesale account. If you act for an organization, that organization must be validly existing in its jurisdiction, and we may ask for registration documents before extending wholesale terms.

You agree to give accurate, current, and complete information in orders and account records, and to keep it updated. Delivery failures caused by wrong addresses, wrong phone numbers, or unreachable recipients are the kind of problem nobody enjoys, and section 5 explains how costs fall in those cases. If we issue credentials for a wholesale portal or a shared tracking feed, you keep them confidential and tell us quickly if they leak.

You are responsible for orders placed with your credentials and for the content of the delivery instructions you give us. If you name a recipient for a gift or a business consignment, that person acts with your authority for receipt purposes, and we may treat their signature as yours.

4. Orders, Pricing, and Payment

An order submitted through the website, by email, or through a marketplace storefront is an offer to buy. We accept it by sending a written confirmation that states the items, the quantities, the price, the corridor, and the estimated dispatch date. From that moment the order stands, subject to the cancellation rights in section 6.

Prices are stated in the currency shown on the quotation or listing and are exclusive of destination duties and taxes unless we say otherwise in writing. Because our goods are workshop-made, a listing may show a production window rather than instant stock; where that happens, the confirmation will state the dispatch window and you may cancel free of charge before production begins.

We take payment through the providers named at checkout or on the invoice. Payment must clear before dispatch for retail orders unless other terms are agreed for wholesale accounts. If a pricing error is obvious and material, we will contact you before charging, and either side may step back from the mistaken price without penalty. Overpayments are refunded by the original payment route within ten business days of being noticed.

We may refuse or cancel an order where fraud is suspected, where a sanction applies, where the goods cannot lawfully be sent to the destination, or where a workshop failure makes fulfilment impossible; in any such case we refund what you paid for undelivered items.

5. Shipping, Delivery, and Customs

We dispatch from the Kunming hub through the corridor named in your confirmation, chosen by product class: air for fragile pieces, rail for steady volume, sea for heavy replenishment. Delivery estimates on the website and in confirmations are honest estimates, not guarantees; average door-to-door time on featured corridors runs 14 to 22 days, and customs inspections or weather can push any parcel beyond the estimate without making us late in the legal sense.

Import duties, value added tax, and similar charges at the destination are the responsibility of the recipient unless the confirmation says that we have prepaid them. The recipient is also responsible for responding to carrier messages about clearance; a parcel held at customs because the recipient ignored a request for information is not a parcel we abandoned.

Risk in the goods passes to you on delivery to the address given. If a parcel arrives damaged, photograph the packaging and the contents before unpacking further and contact the desk within seventy-two hours; section 6 explains what happens next. If delivery fails because the address was wrong or the recipient was unreachable, we will rebook once at cost; further attempts, or a return to sender, are charged at the amounts the carrier charges us.

6. Returns, Refunds, and Cancellations

For retail orders you may cancel before dispatch without charge and return an item within thirty days of delivery, provided the item is unused, complete, and packed as it arrived. Write to team@binggongyi.mom with your order number, and the desk will send return instructions and book the carrier from our side. Return shipping for defective or wrongly described items is at our cost; for change-of-mind returns it is at your cost, and we keep that cost honest by using our contracted rates.

Refunds are issued to the original payment route within ten business days of the returned item passing inspection at the hub. Where an item arrived damaged or fails the inspection standards in section 7, you may choose a replacement, a repair, or a refund, and we cover the transport both ways.

Some goods are excluded from change-of-mind returns: custom or personalized pieces made to your specification, opened tea, and clearance items marked as final on the listing. Wholesale orders follow the wholesale agreement; where that agreement is silent, the windows above apply with the quantities confirmed in the order.

Cancellations of wholesale production runs after the workshop has begun work are settled by the stage of production reached, and we will show you the workshop records behind any such calculation rather than asking you to take a number on trust.

7. Quality Assurance and Product Representations

Every piece we ship passes a written inspection covering glaze integrity, weight, rim smoothness, lid fit, finish, and packaging strength, and carries our small cinnabar seal mark when it passes. Our published pass rate for the last full year was 98 percent, and inspection photographs are available on request for wholesale clients and, on ordinary orders, whenever a question arises about a piece.

Workshop-made goods carry the marks of hands. Small variations in glaze flow, weight, and tone are properties of the craft, not defects, and the listing photographs and material notes are part of the description you buy. We describe materials honestly, state dimensions accurately, and photograph color under neutral light; screens differ, and we note that difference on request rather than promising that every monitor tells the truth.

If an item fails our own standards on arrival, it is a defect, and section 6 gives you the remedy. Nothing in these terms limits rights that consumer law in your jurisdiction gives you over goods that are not as described, not of satisfactory quality, or not fit for purpose.

8. Acceptable Use

You agree to use the website and the services lawfully and for their intended purposes. That means you will not place orders designed to disrupt our operations, submit false delivery or payment information, scrape the catalog at volumes that harm the site, attempt to breach security measures, or interfere with other customers in marketplace channels we operate.

You will not resell our goods or content in a way that suggests we endorse a scheme we have never heard of, and you will not use our seal mark, name, or photographs without permission. You will not export, ship onward, or reship goods to destinations or persons where sanctions or export controls prohibit it; if a corridor question arises, ask the desk before ordering rather than after.

You will not upload malicious code through forms, impersonate our staff in communications with carriers or workshops, or use inquiry channels to send bulk advertising. If you breach this section, section 14 describes the consequences, and we may also recover the direct costs of cleaning up after the breach where the law allows.

9. Intellectual Property

The website, its text, its layout, our seal mark, the BINGGONGYI wordmark, and our studio photography belong to Kunming Binggongyi E-Commerce Co., Ltd. or to the licensors who allow us to use them. We give you a limited, revocable, non-exclusive permission to view the site and to copy reasonable extracts for your own ordering, record-keeping, and internal use. Everything else needs our written permission.

Workshop designs remain the property of the workshops that created them, and several of our partners hold design registrations in their patterns. Buying a piece does not transfer the design; making molds or derivatives of a signed workshop pattern without permission injures a real person on the other end of the corridor, and we will help those workshops enforce their rights.

If you believe content on our site infringes your rights, write to team@binggongyi.mom with the details, and we will investigate promptly and remove what turns out to be infringing.

10. Disclaimers

The website is provided on an as-is and as-available basis. We work hard to keep listings accurate and the site functional, but we do not promise that the site will be uninterrupted, error-free, or free of harmful code, and we do not promise that every description will answer every question before you ask it.

To the fullest extent the law allows, we disclaim implied warranties of merchantability and fitness for a particular purpose with respect to the website and the information services on it. This section does not limit our obligations for the goods themselves: the quality commitments in section 7 and the remedies in section 6 are part of the bargain, and statutory consumer rights always survive a disclaimer like this one.

Corridor timings, duty estimates, and stock positions are given in good faith from live data, and they change for reasons outside our control, including customs practice, carrier schedules, and workshop capacity. Where the law permits, statements of that kind are estimates rather than binding promises; where it does not, the confirmation terms control.

11. Limitation of Liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost sales, or lost goodwill, arising out of the services or these terms. This limitation applies even if a party has been told such damages were possible, and it applies to both sides because corridors run in both directions.

Our total liability for a given order or engagement, however it arises, is limited to the amount you actually paid us for that order or engagement, or, for wholesale accounts without a signed agreement, to the amounts you paid us in the twelve months before the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for willful misconduct, or for any liability that the law does not allow to be limited.

Where a carrier or customs authority causes a loss, we will pursue the claim with them and assign to you what we recover for your parcel, so that the wrongdoer pays rather than the claim dying in a queue.

12. Indemnification

You agree to defend and indemnify us against claims, losses, and reasonable costs arising from your breach of these terms, your unlawful use of the services, false information you supplied, or goods you asked us to ship that turn out to be prohibited at the destination. This promise covers the direct costs of responding to a claim that your conduct caused, not the ordinary risks of trade that both sides accepted in sections 5 and 10.

We will notify you promptly of any claim covered here, let you take part in its defense, and not settle it in a way that imposes obligations on you without your consent. If the claim rests partly on your conduct and partly on ours, the cost follows responsibility rather than convenience.

Wholesale agreements may adjust this section in writing for the account concerned; until then, this section states the rule for everyone, and it is deliberately symmetrical in spirit.

13. Governing Law and Dispute Resolution

These terms and every order placed under them are governed by the laws of China, without regard to rules on conflict of laws that would send the question elsewhere. Where consumer law in your country of residence gives you rights that can only be exercised before your local courts or authorities, this section does not take those rights away.

Before any formal step, both sides agree to try to settle a dispute in good faith: write to the desk at team@binggongyi.mom, describe the problem and the outcome you seek, and give us thirty days to answer. Most trade disputes are facts wrapped in feelings, and the written record we keep usually unwraps them quickly.

If negotiation fails, disputes will be brought before the competent courts located in Kunming, China, except where the law gives you a different forum that cannot be waived. Nothing here stops either side from seeking urgent interim relief where delay would cause real harm.

14. Termination and Suspension

You may stop using the website and close a wholesale account at any time by written notice, subject to completing the orders already confirmed. We may suspend an account or refuse an order where fraud is suspected, where payment has failed, where section 8 has been breached, where sanctions require it, or where a legal authority directs it. We will tell you the reason where the law allows, and we will complete or refund undelivered orders that are not affected by the problem.

Sections that should survive the end of a relationship do survive: the record-keeping duties, the intellectual property permissions that ended, the limitations and indemnities, and the governing law clause. Termination does not rewind a completed trade, and it does not erase the obligations that made the trade safe in the first place.

Where suspension turns out to be mistaken, we restore access promptly, and we say so in writing rather than quietly.

15. Modifications to These Terms

We may update these terms as the services, the corridors, or the law change. The date at the top of this page shows the version in force, and we archive previous versions so that the rules that governed a past order can still be produced if a question about it arises later.

For changes that materially reduce a right you already hold, we give notice on the website, and for wholesale partners by email, before the change takes effect. An order is governed by the version of these terms that was in force when we confirmed it, unless you agree in writing to apply a later version to it.

Continuing to use the services after an update takes effect means you accept the updated terms for future orders. If an update would take away something the law does not allow us to take away, the law controls and the text will bend to it.

16. Severability, Assignment, and Entire Agreement

If a court or authority holds a clause in these terms unenforceable, the rest of the terms continue in force, and the offending clause is read as closely as the law allows to the outcome we intended. A delay in enforcing a right is not a waiver of it, and a waiver on one occasion does not waive the same right on the next.

You may not assign these terms or an order to another person without our written consent. We may assign the whole agreement, with notice, as part of a reorganization or a sale of the business, and the assignee must honor what you were promised. Notices to us go to the addresses in section 17; notices to you go to the email and address on your most recent order, and you are taken to have read a notice three days after it was sent.

These terms, the confirmation, and any wholesale agreement you sign contain the whole agreement about the services, and they replace anything said in good faith in earlier conversations that never made it onto paper. The English version of these terms is the one that governs, whatever translations may exist for convenience.

17. Contact Information

Questions about these terms, about an order, or about a dispute go to the trading desk, which answers within one business day and escalates to the manager on duty where a matter needs weight rather than speed.
